1. Acceptance of Terms

By accessing or using MCPCodex services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

2. Use License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use MCPCodex services for your internal business or personal purposes.

You may not:

  • Modify, reverse engineer, or decompile our software
  • Use our services for any unlawful purpose
  • Violate any intellectual property rights
  • Attempt to gain unauthorized access to our systems
  • Use our services to develop competing products

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Provide accurate and complete information
  • Keep your account information up to date
  • Notify us immediately of any unauthorized use
  • Not share your account with others
  • Comply with all applicable laws and regulations

4. Payment Terms

For paid services, you agree to pay all fees according to the pricing plan you select. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

  • Payments are processed securely through Stripe
  • Subscriptions auto-renew unless canceled
  • Price changes will be notified 30 days in advance
  • Free tier limitations apply as specified
  • Enterprise agreements may have custom terms

5. Intellectual Property

MCPCodex and its licensors retain all rights, title, and interest in and to the services. You retain ownership of your content but grant us a license to use it as necessary to provide our services.

  • You own your code and content
  • You grant us license to process your content
  • We won't use your code to train models without permission
  • You're responsible for having rights to your content
  • We may use anonymized usage data for improvements

6. Privacy and Data Protection

Your use of our services is also governed by our Privacy Policy. We are committed to protecting your data and maintaining compliance with applicable data protection laws including GDPR and CCPA.

7. Service Level Agreement

We strive to maintain high availability but do not guarantee uninterrupted service. Our SLA targets are:

  • 99.9% uptime for Enterprise customers
  • 99.5% uptime for Pro customers
  • Best effort for Free tier
  • Scheduled maintenance with 48-hour notice
  • Credits available for SLA breaches (Enterprise only)

8. Limitation of Liability

To the maximum extent permitted by law, MCPCodex shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

  • Total liability limited to fees paid in last 12 months
  • No liability for user-generated content
  • No liability for third-party services
  • Force majeure events excluded
  • Some jurisdictions may not allow these limitations

9. Indemnification

You agree to indemnify and hold harmless MCPCodex and its affiliates from any claims, damages, or expenses arising from your use of the services or violation of these Terms.

10. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination:

  • Your right to use the service ceases immediately
  • We may delete your data after 30 days
  • You can export your data before termination
  • Paid subscriptions are non-refundable
  • Some provisions survive termination

11. Governing Law

These Terms are governed by the laws of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or through the service. Continued use after changes constitutes acceptance.

Prohibited Uses

  • Illegal or harmful activities
  • Violating intellectual property rights
  • Distributing malware or viruses
  • Harassment or abuse of others
  • Cryptocurrency mining without permission

Dispute Resolution

We prefer to resolve disputes amicably. If you have any concerns:
